The Website is intended for the sale of Products by Laboratoires Dr. N.G. PAYOT to Customers, acting as consumers for their personal use.

Any individual or legal entity duly registered with the relevant authorities and registries may purchase Products for professional, associative and/or social purposes by contacting Laboratoires Dr. N.G. PAYOT via email at the following address: hello@payot.fr.

The GTC apply, without restriction or reservation, to all Product Orders placed by Customers on PAYOT.COM. They supersede any other terms and conditions, unless previously, expressly, and formally agreed in writing by Laboratoires Dr. N.G. PAYOT.

Each Order placed on the Website is governed by the GTC in effect on the date of that Order. By confirming the Order, the Customer acknowledges having read and accepted the GTC without reservation.

Laboratoires Dr. N.G. PAYOT may amend certain provisions of the GTC, particularly in response to regulatory changes. As a result, Customers are required to review the GTC prior to each Product Order on the Website. These modifications shall become binding as soon as they are published online and shall not apply to Orders placed prior to that date.

3.1 Product Description

Before placing an Order, the Customer may consult the essential characteristics of the Products they wish to purchase. The Commercial Documentation includes, for each Product, the technical data provided by Laboratoires Dr. N.G. PAYOT in its capacity as manufacturer. Laboratoires Dr. N.G. PAYOT makes every effort to ensure that the photographic representation of the Products on the Website accurately reflects the actual Products.

The Products comply with French legislation. It is the Customer’s responsibility to verify with local authorities whether the use or import of the Products into another country is lawful before placing an Order. Laboratoires Dr. N.G. PAYOT cannot be held liable in the event of non-compliance with the legislation of the country in which the Product is delivered.

3.2 Product Availability

Product offers are valid as long as they are displayed on the Website and while stocks last. Some Products may not yet be available for sale and may be eligible for pre-order on the Website. Pre-ordering allows Customers to reserve certain Products prior to their official release date. Once Laboratoires Dr. N.G. PAYOT receives stock of the pre-ordered Products, the Customer will receive their order according to the selected delivery option.

Pre-order offers presented by Laboratoires Dr. N.G. PAYOT are valid only for a limited time and within the quantity made available for pre-order.

In case of partial or total unavailability of the Products after the Order has been placed, Laboratoires Dr. N.G. PAYOT will inform the Customer as soon as possible via email, either about partial delivery or cancellation of the Order. In accordance with Articles L.216-6 and L.216-7 of the French Consumer Code, the Customer will be refunded the price of any unavailable Products within fourteen (14) days of their request.

3.3 PAYOT Gift Cards

PAYOT Gift Cards are private, prepaid cards that can only be purchased on the Website. Gift Card purchases cannot be combined with any current promotional offers on the Website. Buying a Gift Card does not entitle the Customer to discounts, referral rewards, or gifts with purchase. Gift Card purchases must be made separately and cannot be combined with orders for physical Products from the Website.

The PAYOT Gift Card is loaded once, with an amount chosen by the Customer between fifty (50) and three hundred (300) euros.

The Customer can choose between immediate or scheduled email delivery of the Gift Card, either to their own email address or to that of a recipient of their choice. If scheduled delivery is selected, the Gift Card will be sent at 6:00 a.m. (Paris time) on the selected day.

There are two types of PAYOT Gift Cards:

– The “e-boutique” gift card: This can only be used to purchase Products on the Website.

– The “e-boutique” Gift Card may be used in one or more transactions up to the available credit at the time of the Order.

If the Gift Card does not cover the full amount of the Order or PAYOT products or treatments purchased in a participating retail location, the remaining balance must be paid using another payment method accepted by the Website or point of sale. Only one Gift Card will be accepted per Order or per purchase in a participating retail location.

A Gift Card cannot be used to purchase another Gift Card. The Gift Card is valid for one (1) year from its order date on the Website. After this period, any unused balance will be definitively lost and will not be refunded or credited.

The Gift Card will not be replaced or refunded in case of loss, theft, tampering, or expiration.

Product prices are indicated in euros, all taxes included, excluding processing and shipping fees. The amount of processing and shipping fees is indicated to the Customer in euros, all taxes included, before the Order is confirmed, depending on the chosen delivery method and the weight of the Products.

Laboratoires Dr. N.G. PAYOT reserves the right to modify Product prices at any time but undertakes to apply the prices displayed on the Website at the time of the Order, except in the case of an incorrect price. If a clearly erroneous or unusually low price is displayed on the Website, regardless of the reason (system bug, human error, technical malfunction), the Order—even if validated by Laboratoires Dr. N.G. PAYOT—will be canceled. The Customer will be informed of the cancellation as soon as possible and may, if they wish, place a new Order at the corrected and accurate price.

All promotional offers on the Website that require a minimum purchase amount apply excluding processing and shipping fees.

5.1 Order Placement Terms

To place an Order on the Website, the Customer must either:

• Have a PAYOT.COM or LAB PAYOT account; or

• Register as a “Guest” on the Website.

The Customer selects the desired quantity of a Product on its dedicated page and then clicks “ADD TO CART.” Orders that include Products available for pre-order may contain only pre-order items.

After selecting the desired Products, the Customer accesses their cart by clicking “My Cart” at the top of the page. They confirm the list of Products by clicking “CHECKOUT.” The Customer is then invited to choose up to two samples from a list determined at the sole discretion of Laboratoires Dr. N.G. PAYOT. They continue the ordering process by clicking “CHECKOUT” again.

Next, the Customer is prompted to either log in using their PAYOT.COM or LAB PAYOT account or register as a “Guest.” After login, the Customer must provide their shipping and/or billing address and select a delivery method. On the same page, and after entering the delivery information, the Customer must accept the GTC. Failure to accept the GTC prevents the Order from being validated.

Finally, by clicking “PURCHASE,” the Customer proceeds to payment and confirms their acceptance of the Order terms by clicking “PAY.”

In accordance with Articles 1356 and 1368 of the French Civil Code, the Parties expressly agree that acceptance of the GTC and the action of clicking “PURCHASE” serve as proof of the Customer’s unconditional acceptance of the Order and the applicable GTC in effect on the day of the Order.

The information entered or confirmed by the Customer during the Order process (such as name, shipping address, phone number, and email) is binding. Laboratoires Dr. N.G. PAYOT cannot be held responsible in the event of an error, inaccuracy, or omission that would prevent or delay Product delivery.

The contract is definitively formed only once the Order has been accepted by Laboratoires Dr. N.G. PAYOT. Such acceptance is subject to the cumulative conditions of successful payment and verification of the Order’s validity as defined in Article 6.

5.2 Order Cancellation Options

The Customer acknowledges and agrees that Laboratoires Dr. N.G. PAYOT may refuse to accept or fulfill an Order on legitimate grounds, including but not limited to:

• A legal prohibition on selling the relevant Products;

• An abnormal Order—defined as an Order exceeding five (5) units of the same Product or a total value over one thousand (1,000) euros (excluding delivery fees);

• The Customer’s manifest bad faith;

• Legitimate suspicion of fraud;

• Inability to deliver the Products to the selected country or address;

• A clear error in the GTC, Product price, or Product description;

• The existence of a current or past dispute related to the payment of a previous Order placed with Laboratoires Dr. N.G. PAYOT.

6.1 Payment Methods

Payment for Orders on the Website may be made by:

– Credit card (CB, Visa, American Express, or Mastercard);

– Debit from the Customer’s PayPal account;

– “PAYOT” e-boutique Gift Card, by entering the gift card code in the shopping cart in the field dedicated to promotional and gift card codes.

The Customer guarantees that they are fully authorized and entitled to use the chosen payment method to pay for their Order.

To ensure transaction security, credit card payments are processed through the STRIPE payment system on a secure SSL (Secure Socket Layer) site operated by INTEROUTE as payment service provider. The “s” in https confirms that the site is secure.

Laboratoires Dr. N.G. PAYOT never has full access to the credit card number provided by the Customer to the payment system.

6.2 Order Verification

To detect and reduce fraud, Laboratoires Dr. N.G. PAYOT verifies the information entered by the Customer when placing an Order.

As such, the fraud prevention service of Laboratoires Dr. N.G. PAYOT may request additional information from the Customer, especially in the following cases: a delivery address different from the billing address, an invoice exceeding one thousand (1,000) euros, an order including five (5) or more units of the same Product, or a high frequency of Orders. Requested information may include: a copy of ID, proof of address, etc.

The purpose of this data is to assess the risk associated with the transaction and to prevent credit card fraud. Refusal to provide this information will prevent both the analysis of the transaction and the validation of the Order.

To help validate the Order and ensure timely shipping, Customers are advised to provide a reachable phone number and to confirm the entered information or send the requested documents as soon as possible.

6.3 Invoice

For every Order, Laboratoires Dr. N.G. PAYOT will issue an electronic invoice. The Customer can access and download this invoice from their client account by going to the “MY ORDERS” section.

Delivery

Laboratoires Dr. N.G. PAYOT delivers only to mainland France (including Corsica, but excluding overseas territories), Belgium, Luxembourg, and Monaco.

Processing and shipping fees are calculated based on the delivery method chosen by the Customer for the entire Order. These fees are displayed to the Customer at the end of the Order process, before final confirmation.

Once the Order is confirmed and payment validated, the Products are delivered by the selected method to the delivery address provided. Any subsequent modification to the delivery address cannot be taken into account by Laboratoires Dr. N.G. PAYOT.

Delivery cannot be made to a P.O. box, hotel room, or any address that includes the mention “c/o.” A single Order cannot be split between multiple delivery addresses.

Laboratoires Dr. N.G. PAYOT makes every effort to ensure delivery of the Products within the timeframes indicated at the time of the Order. If the Order includes several Products with different delivery dates, the Customer acknowledges and accepts that the delivery will take place in a single shipment on the latest of those dates.

In the event of a delay beyond the indicated timeframe (and not due to force majeure), Laboratoires Dr. N.G. PAYOT will contact the Customer by email, telephone, or via their PAYOT Account to provide a new estimated delivery date.

If delivery is delayed or not made without justification from a case of force majeure, the Customer may cancel the Order:

– After having formally requested delivery by registered letter with acknowledgment of receipt, allowing a reasonable additional period, which has expired without delivery; or

– If the Customer proves that the agreed delivery date was an essential condition of their Order.

The notice or cancellation request must be sent to Laboratoires Dr. N.G. PAYOT using the contact information provided in the “Definitions” section. The Order will be considered canceled upon receipt of the Customer’s written notice, unless delivery occurred in the meantime.

Laboratoires Dr. N.G. PAYOT will refund the full amount of the Order no later than fourteen (14) days from the date of cancellation.

The delivery date of the Order is based on the sum of the following two (2) elements:

Shipping time:

– Verification of the reliability of the payment information;

– Order preparation;

– Package handover to the carrier.

Carrier delivery time, depending on the method chosen by the Customer:

– Colissimo: 3 to 4 business days (with an additional business day for Corsica)

– Chronopost: 1 to 2 business days

When the package is shipped, the carrier will email the tracking number to the Customer at the address provided during the Order.

If the Customer does not receive the package within the indicated timeframe, they are invited to notify Laboratoires Dr. N.G. PAYOT by email at hello@payot.fr so an investigation can be initiated. Please note this process may take several days.

8.1 Products Eligible for Withdrawal

In accordance with Article L. 221-18 of the French Consumer Code, the Customer has the right to withdraw from the Order without giving any reason, within fourteen (14) calendar days from the date on which the Customer, or a third party other than the carrier and designated by the Customer, takes physical possession of the package(s) shipped by Laboratoires Dr. N.G. PAYOT.

However, the right of withdrawal does not apply to Orders for goods that:

• Have been made to the Customer’s specifications or are clearly personalized;

• Have been unsealed by the Customer after delivery and cannot be returned for health protection or hygiene reasons.

As a result, the Customer acknowledges and agrees that the right of withdrawal cannot be exercised for Products that have been unsealed and whose resale by Laboratoires Dr. N.G. PAYOT would pose a hygiene or health risk (notably skincare products, creams, etc.).

In the case of a Gift Card purchased on the Website, the Customer has fourteen (14) days from the Order confirmation to exercise their right of withdrawal, provided the Gift Card has not been used, in whole or in part, during this period. If the Gift Card has been used, no withdrawal or refund of any kind is possible.

The absence of a right of withdrawal does not affect the Customer’s entitlement to applicable legal guarantees.

8.2 Exercising the Right of Withdrawal

The Customer may exercise their right of withdrawal by notifying Laboratoires Dr. N.G. PAYOT, before the fourteen (14)-day withdrawal period expires, either by filling out a withdrawal form in their PAYOT.COM account or by sending an email to hello@payot.fr clearly expressing their intention to withdraw. This email must include sufficient details to identify the Customer, the Order, and/or the Products concerned.

Laboratoires Dr. N.G. PAYOT will promptly acknowledge receipt of the withdrawal on a durable medium.

This right of withdrawal is exercised without penalty. However, return shipping costs remain the Customer’s responsibility. Once the withdrawal request is received, Laboratoires Dr. N.G. PAYOT will issue the Customer a return label to print and include in the return package. The Customer must drop off the return package at a post office and cover the return costs.

Laboratoires Dr. N.G. PAYOT recommends using a shipping method with tracking. Without a tracking number, no claims will be accepted in case of lost parcels during return transit.

Returned Products must be:

• In perfect condition;

• Complete and accompanied by any instructions;

• In their original packaging, which must not be excessively damaged, altered, or soiled by the Customer;

• Unopened, for Products whose resale after opening would pose a hygiene or health risk;

• Accompanied by any complimentary gifts received (especially in the case of gifts linked to a minimum purchase threshold), if the withdrawal means those conditions are no longer met.

Products that are not returned in these conditions will be refused and sent back to the Customer at their own expense.

After checking the condition of the returned Products, Laboratoires Dr. N.G. PAYOT will refund the Customer within fourteen (14) days of the withdrawal date, by crediting the Customer’s bank or PayPal account, or the Gift Card used. In accordance with paragraph 2 of Article L. 221-24 of the French Consumer Code, this refund may be delayed until the Product is received by Laboratoires Dr. N.G. PAYOT or until the Customer provides proof of shipment.

8.3 “Satisfied or Refunded” Guarantee

The Customer benefits from a “Satisfied or Refunded” guarantee. This guarantee applies only to a selection of eligible Products listed below and purchased on payot.com between April 4 and April 30, 2025.

The Customer has a period of three (3) weeks from receipt of the Order to declare their intent to return an eligible Product in the event of dissatisfaction.

The Product must be returned at the Customer’s expense to the following address:

Upon receipt of the Product, the customer service team will issue a refund for the Product in the form of a credit note. This credit will be valid for two months from the date of issuance.

9.1 Legal Guarantees

Regardless of any commercial warranty, Laboratoires Dr. N.G. PAYOT remains liable for Product non-conformity with the Order under Articles L. 217-4 to L. 217-12 of the French Consumer Code, and for hidden defects as set out in Articles 1641 to 1649 and 2232 of the French Civil Code.

In accordance with Article L. 217-15 of the French Consumer Code, Laboratoires Dr. N.G. PAYOT informs the Customer of the following legal provisions:

9.1.1 Legal Guarantee of Conformity

Article L. 217-4 of the French Consumer Code:

“The seller delivers goods that conform to the contract and is liable for any non-conformity that exists upon delivery. The seller is also liable for any non-conformity resulting from the packaging, assembly instructions or installation, if these were their responsibility under the contract or were carried out under their responsibility.”

Article L. 217-5 of the French Consumer Code:

“The goods conform to the contract:

1° If they are suitable for the usual intended use of similar goods and, where applicable:

– if they match the description given by the seller and have the qualities presented by the seller to the buyer in the form of a sample or model;

– if they have the qualities that a buyer can reasonably expect in view of public statements made by the seller, the producer or their representative, including in advertising or labeling;

2° Or if they have the characteristics mutually agreed upon by the parties or are suitable for any special use sought by the buyer, brought to the attention of the seller and accepted by the seller.”

Article L. 217-12 of the French Consumer Code:

“The limitation period for action resulting from non-conformity is two years from delivery of the goods.”

9.1.2 Guarantee Against Hidden Defects

Article 1641 of the French Civil Code:

“The seller is liable for hidden defects in the item sold that make it unfit for its intended use, or that so impair that use that the buyer would not have acquired it, or would have paid less for it, had they known of the defects.”

Article 1648 paragraph 1 of the French Civil Code:

“An action resulting from redhibitory defects must be brought by the buyer within two years of discovering the defect.”

9.1.3 Implementation of Legal Guarantees

When acting under the legal guarantee of conformity, and under the conditions outlined below, the Customer:

– Has two (2) years from delivery of the Product to act;

– May choose between repair or replacement of the Product, subject to the cost conditions set out in Article L. 217-9 of the French Consumer Code;

– Is exempt from proving the existence of the lack of conformity within twenty-four (24) months of delivery of the Product.

It is noted that the legal guarantee of conformity operates independently of any commercial warranty offered by the manufacturer.

The Customer may also decide to enforce the guarantee against hidden defects as defined in Article 1641 of the Civil Code. In that case, they may choose to cancel the sale or request a price reduction in accordance with Article 1644 of the Civil Code.

Under the legal guarantee of conformity and according to the Customer’s choice, Laboratoires Dr. N.G. PAYOT will:

– Replace the Product with an identical Product, subject to available stock;

– Refund the price of the Product if replacement is not possible.

Under the legal guarantee for hidden defects and according to the Customer’s choice, Laboratoires Dr. N.G. PAYOT will, after evaluating the defect:

– Refund the full price of the returned Product;

– Refund part of the price if the Customer decides to keep the defective Product.

9.2 Customer Service

For any questions or information prior to placing an Order, or regarding Order tracking and fulfillment, the exercise of the right of withdrawal, application of any guarantee, or handling of complaints, the Customer may contact Customer Service by email at hello@payot.fr.

All texts, drawings, trademarks, logos, brand names, product names, titles, sounds and music, graphics, videos, user interfaces, visual interfaces, photographs, and source code (hereinafter the “Content”), including the structure and appearance of such Content, displayed on the Website are the property of Laboratoires Dr. N.G. PAYOT and are protected under copyright, patent, trademark, and other intellectual property laws.

Reproduction or use of all or part of this Content is authorized solely for informational purposes, for private and non-commercial use. Any other use of elements from the Website, particularly for commercial purposes, is strictly prohibited.

Laboratoires Dr. N.G. PAYOT collects personal data from the Customer and, where applicable, from the recipient of the Order. The purposes, recipients, retention periods, and conditions under which Laboratoires Dr. N.G. PAYOT collects and processes personal data are outlined in the Website’s Privacy Policy, which provides full details on the processing of personal data and the rights of the individuals concerned.

The Order is placed in French and is governed by and interpreted in accordance with French law.

In the event of a complaint related to an Order, the Customer is invited to contact Customer Service under the conditions set out in Article 9.2 of the GTC.

In accordance with Article L. 612-1 of the French Consumer Code, Laboratoires Dr. N.G. PAYOT adheres to the services of a mediator who can be contacted at contact@payot.fr. If no solution is found with Laboratoires Dr. N.G. PAYOT’s Customer Service and after written contact with them, the Customer may refer the matter to the mediator at the following address: Médiateur PAYOT, 40/52 Boulevard du Parc, 92200 Neuilly-sur-Seine, France.

If the dispute is not resolved amicably by Customer Service and/or through mediation, only the French courts shall have jurisdiction over any dispute between the Customer and Laboratoires Dr. N.G. PAYOT.

Laboratoires Dr. N.G. PAYOT archives order forms and invoices on a reliable and durable medium that constitutes a faithful copy, in accordance with Article 1366 of the French Civil Code. The Customer may access these documents via their PAYOT.COM Account. For orders placed as a guest, the Customer receives a link by email to view their invoice and track their order.

The Parties expressly agree, under an evidence agreement, that the digital records and logs of Laboratoires Dr. N.G. PAYOT—such as emails and email copies saved by Laboratoires Dr. N.G. PAYOT—shall be considered admissible and conclusive proof regarding the formation and performance of the Order, including payments, communications, and transactions between the parties.

Unless proven otherwise, the data recorded at the time of the Order on the Website, as well as the invoices issued by Laboratoires Dr. N.G. PAYOT, shall constitute proof of all transactions concluded between Laboratoires Dr. N.G. PAYOT and the Customer.

If one or more provisions of the GTC are declared null and void by law, regulation, or a final decision of a competent court, such provisions shall be considered severable from the Order. The remaining provisions of the GTC shall be deemed valid and remain in effect, unless the Customer or Laboratoires Dr. N.G. PAYOT demonstrates that the invalidated provision was essential and decisive, without which they would not have entered into the agreement.

The failure of either Party to enforce a breach of any obligation under the GTC by the other Party shall not be construed as a waiver of the obligation in question.
